These Terms and Conditions (“Terms”) constitute a legally binding agreement between TalkNorth | The Podcast Studio (“TalkNorth”, “we”, “us”, “our”) and the client (“you”, “your”). By confirming a booking, accessing the studio, or using any of our services, you agree to be bound by these Terms.
1. Bookings and Payment
1.1 Booking Confirmation
A booking is deemed confirmed only upon receipt of full payment or, where expressly agreed in writing, upon receipt of an agreed deposit.
1.2 Payment Requirements
All sessions must be paid in full at the time of booking, unless a written agreement from TalkNorth states otherwise.Where a deposit is taken, the outstanding balance must be paid no later than the commencement of the session.
1.3 Deposit Terms
Deposits are non-refundable except where TalkNorth cancels the booking pursuant to clause 2.2.
1.4 Failure to Pay
If payment is not made in accordance with these Terms, TalkNorth reserves the right to cancel the booking, deny access to the studio, and recover any outstanding sums via legal or collection processes.
2. Cancellation and Rescheduling
2.1 Client Cancellation
Cancellations made more than 72 hours before the scheduled session may be rescheduled subject to availability.
Cancellations made within 72 hours of the scheduled session are non-refundable.
Failure to attend a session without notice constitutes a full charge of the session fee.
2.2 Cancellation by TalkNorth
In the rare event that TalkNorth must cancel or amend your session, you will be offered either A full refund of any payments made or an alternative date and time. TalkNorth is not liable for any consequential loss resulting from cancellation.
3. Use of the Studio
3.1 Acceptable Use
You agree to use the studio and all equipment responsibly, safely, and in accordance with any instructions provided by staff.
3.2 Damage to Property
You are liable for any damage caused to the studio, equipment, fittings, or premises due to misuse, negligence, or failure to follow instructions.
Charges may include:
- Repair costs
- Replacement costs
- Loss of business during repairs
3.3 Maximum Occupancy
The number of attendees permitted inside the studio is restricted to the limits set by TalkNorth. Additional attendees may be refused entry.
4. Intellectual Property and Content Ownership
4.1 Ownership of Recordings
All audio, video, and related content created during your session remains your property upon full payment being received.
4.2 Permission to Use Client Material
TalkNorth will only use your content for marketing, portfolio, or promotional purposes with your explicit written consent.
4.3 Storage of Files
TalkNorth may temporarily store raw or edited files for the purpose of delivery. Long-term storage is not guaranteed unless specified in the contract.You are responsible for retaining and backing up delivered files.
5. Editing, Post-Production, and Deliverables
5.1 Delivery Timelines
Estimated delivery times will be provided at the point of booking. These are indicative only and not legally binding unless expressly stated.
5.2 Revisions
Unless otherwise agreed, editing services include one round of reasonable revisions. Additional revisions may incur further charges.
6. Liability and Indemnity
6.1 Limitation of Liability
To the fullest extent permitted by law, TalkNorth’s total liability for any claim arising out of or in connection with our services shall not exceed the total amount paid for the relevant booking.TalkNorth shall not be liable for:
- Loss of profits, business, reputation, or anticipated savings
- Consequential or indirect losses
- Loss or corruption of data after delivery
- Delays or failure caused by circumstances beyond our reasonable control
6.2 Client Indemnity
You agree to indemnify and hold harmless TalkNorth from any claim, damage, loss, liability, or expense arising from your use of the studio or from any breach of these Terms.
6.3 Personal Property
TalkNorth accepts no responsibility for personal belongings brought onto the premises.
7. Confidentiality
TalkNorth maintains strict confidentiality regarding all client projects. No information, recordings, or materials will be disclosed to third parties without your consent, except where required by law.
8. Data Protection
All personal data is handled in accordance with the UK GDPR and the Data Protection Act 2018.See our Privacy Policy for full details.
9. Force Majeure
TalkNorth is not liable for failure or delay in performing obligations where such failure or delay arises from events outside our reasonable control, including but not limited to power failures, equipment faults, illness, strikes, or government restrictions.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the English courts.
11. Amendments
TalkNorth reserves the right to modify or update these Terms at any time. Updated versions will be published on our website and will apply to all bookings made thereafter.
